| ¡¡¡¡The legal service for transformation, asset and share reorganization
and listing of companies is a set of systematic work, which relates
not only to the company law, securities law of P.R.China, the regulations
issued by the China Securities Regulatory Commission and Stock Exchange,
but also relates to the corporate matters, company organization
& structure, labor rules, land, property, tax, environment protection,
etc. In order to deal with these matters, the lawyers should have
comprehensive legal background and sufficient practicing experience.
Corporate & Security Department consists of lawyers who are
experienced not only in the company law and securities law but also
in the company transformation, reorganization of shares and assets,
company listing. We have provided legal service for the transformation,
reorganization, purchase, merger, incorporation, and listings of
more than fifty large- scale enterprises, non- profit organizations,
and limited- liability companies. We will send senior lawyers with
sufficient experience in the company transformation, reorganization
of shares and assets, company listing, in order to provide our clients

* Scope of service:
i. Listing of companies, including the main board listing and middle
and small- size board listing in Mainland China, main board listing
and growing enterprise board listing in Hong Kong, main board listing
and electric bidding board listing in Singapore, London Exchange
AIM listing, U.S.A NASDAQ listing, Germany Frankfurt Exchange listing,
Canada growing enterprises board listing.
ii. Merger and acquisition, including the transformation, reorganization
of the State- owned enterprises, and foreign companies purchase
the shares or assets of the domestic enterprises.
Finance of the enterprises, including share finance, bank credit
finance, enterprises bond finance, trust, financial leasing, asset
transforming into securities, risky investment, etc.
Incorporation, alteration, liquidation of companies, including but
not limited to the following matters: drafting the capital contribution
contact of the limited liability company, promoter¡¯s contract of
the joint stock companies, the contract of wholly foreign owned
companies, Sino-foreign equity joint- venture companies, Sino-foreign
cooperative companies; the establishment and modification of the
articles of association and the rules of inter- governing; designing
the proposals and resolutions for and witnessing the board of directors
meeting and the shareholders meeting; designing the share transfer
plan; representing the companies for the incorporation and alteration
registration as well as the company liquidation.
Representing the clients for the litigation that relates to the
securities law and company law, which includes but not limited to
the following matters: disputes concerning the affirmation of the
shareholders rights, disputes concerning the request for the delivery
of the shares or capital contribution certificate, disputes concerning
the transfer of shares, disputes concerning preferential subscription
rights, disputes concerning the voting rights of the stockholders,
disputes concerning the right to know the truth, disputes concerning
the corporate decisions which infringe shareholder¡¯s rights, disputes
concerning the calling for the shareholder meeting, disputes concerning
the dissolution of corporation, disputes concerning the directors,
supervisors, managers wrong doing and damaging the interests of
the company, disputes concerning the capital contribution contract,
disputes concerning the merger and division of the company, taking
over of the listed company, disputes concerning the cooperative
management, shareholders representative litigation, civil compensation
cases arising out of the company fraudulent statements. |
